Create share certificates with eSignatures

Use Diligent Equity to create share certificates with eSignatures if you intend to send them using the DocuSign integration for signature.

Note

Once a certificate is created, you cannot modify its terms. You need to delete the certificate and recreate it.

  1. Go to the Securities section in the navigation sidebar, select Shares and select the allocation you want to work on.

  2. Select the shareholder's name to open the Allocation Details window for the shareholder.

  3. Go to the Certificate Tab and select Create Certificate.

    The Create Certificate wizard opens.

  4. Select the Create a certificate with eSignatures (DocuSign) as the certificate type.

  5. Select Next to verify the certificate details.

    • Certificate Template: Verify that the correct template is being used. You can have multiple template types for your account.
    • Certificate ID: This will pre-populate using the next available certificate value. You can change the Certificate ID as you see fit, but each Certificate must have a unique ID
    • Date: The certificate creation date
    • 144 Date: The date on which the Holder can sell all the Underlying Securities without restriction or limitation pursuant to Rule 144.

    Note

    You can leave the Origin, Disposition, and Comments boxes blank.

  6. Select Next to confirm Signatory Details in the Certificate wizard.

    • The Company Signatory fields will pre-populate with details if the Certificate Signatory fields have been set within the Company Details. If these are blank, you can enter in the names of the signatories. For details on setting the signatories go to Add certificate signatories.
    • If you enter the receivers email address Diligent Equity will automatically send a digital copy of the certificate to the shareholder after both Company Signatories have signed the digital certificate. If you do not want the completed copy sent to the shareholder automatically leave the email address field blank.
  7. After you have verified the Signatories, select Request Signatures.

You can view the status of the certificate at any time in the Certificate tab of the shareholder's Allocation Details or from the Certificates tab in the Company Section.

After the Certificate has been signed, the completed version will be returned to Diligent Equity and you can view it at any time.
