Declare a Proprietary Company as Special Purpose Company

Use the Incorporation (Australia) data library to declare an Australian proprietary company as special purpose company.

In this data library, you can select home unit company, not-for-profit company, and superannuation trustee company as special purpose company type for a proprietary company.

  1. Create a proprietary company using the Incorporation wizard or open the required incorporation record.

  2. Select Data Library and on the Data Library page, select New.

  3. Select Incorporation (Australia) as type and complete the Summary section.

    Set a reminder for the data library record, if required. You can also assign the record to someone to manage it and enter a brief description.

  4. In the Special Purpose Company section, select a company type in Special Purpose Company (proprietary) and select the Declaration of Special Purpose Company option to assert that the company is compliant with Regulation 3 of the Corporation (Review Fees) Regulation 2003.

  5. In the Identify Ultimate Holding Company section, select the Identify Ultimate Holding Company option if the company is a subsidiary of an ultimate holding company and use the wand next to the Ultimate Holding Company Name field to select the holding company in the Select Entity wizard.

  6. In the Payment Attached section, select the Payment has been attached option if you intend to submit the paper version of the application and attach the payment for the process.

    Note

    This option applies to the paper form of the 201 form only. If you file the 201 form electronically, the system uses the payment method selected in the e-filing profile.

  7. In the Attachments section, you can upload related paper forms or add information about them.

  8. Select Save to complete the data library record.
