Keeping PSC Information on the Public Register

As per the new legislation, private Companies can elect to keep certain information on the public register.

In particular, the following details can be kept on the central register at Companies House:

  • Secretaries' register
  • Directors' register
  • Directors' usual residential address (URA)
  • Members' register
  • PSC Register

Should you decide to keep your PSC details in the central register, you must enter this information within Diligent Entities by:

  • Opening the relevant Company.
  • Navigate to Company Details > Addresses > Register of People with Significant Control (or Historical Register of People with Significant Control).
  • Select the Options Menu adjacent to the register.
  • Select Change Address.

Or selecting Wizards > Change Location of Company Records will give you access to the same screens.

  • Ensure that the correct address type is selected on the first page of the Change Address Wizard and select Next.
  • Select the Held on the central register by the registrar option and select Next.
  • Complete the Wizard as usual, entering the relevant board meeting (if applicable) and event dates.

Upon finalising the Wizard, the new information will appear next to the PSC Register.

During the period an election is in force, although Companies do not have to maintain these statutory registers (instead they must maintain the statutory information on the central register up to date), Companies are, nonetheless, required to keep a copy of those statutory registers held prior to the election (historic registers), even though these registers no longer need to be updated.

Where historic registers are being held, a note must be placed in them:

  • stating that an election under section 790X is in force;
  • recording when that election took effect, and
  • stating that up-to-date information is available for public inspection on the central register.

Note

The application does not support those Companies using the central register and the consequent production of PSC forms and maintenance of historic registers. Users should not submit PSC or LLPSC forms via the application if they have made such an election.

However, where a central register election is in force, the application does support changes to the location for the Register of People with Significant Control, the historic Register of People with Significant Control, and the historic Register of Members, thus certain statutory forms (for example, AD03, LLAD03, AD04 and LLAD04) can be automated.

The changes are performed and the forms are produced by following the same steps as the ones explained at the beginning of this section.

Note

Forms related to the central register (for example, EH04, EW04, etc.) are not automated in the application.
