Manage electronic signatures

Here we describe how Diligent Equity facilitates email distribution and DocuSign's e-signature capabilities. After a Grant or Exercise Notice document is generated through Workflow you use the Documents function to send out the Notices.

  1. Go to the Company section in the navigation sidebar and select Documents.

  2. In the Documents screen select the relevant notice's name to open the Document Signature Wizard.

    If you generated multiple notices at once, use the filter to refine your search.

    Tip

    Select on the document's more options icon to open a menu.

      Download the document for editing or distribution

      Upload a grant document to save in your records

      Delete a grant document

  3. Select the document you want to send for signature.

    You will see the details of the grant or exercise transaction associated with the document.

  4. Go to the Signatures tab to finalize the Document.

  5. In Signature mode, select Electronic.

    Status will be Not Signed for all documents until the document is sent.

  6. Use the Signature Wizard to set up the final details.

    Note

    To use DocuSign for Signatures, the Signature Type needs to be Electronic.

    Signing Optionee

    • Name: will prepopulate Optionee Name

    • Email Type: will default to Work Email unless only Personal Email exists

    • Email: the email that the notice will be sent to. This field will be prepopulated if the details exist within the Shareholder Personal Information.

    • Security Settings: There are additional fields that can be checked if needed. These are not Required for every Notice. Check with your Legal Advisor for more details.

    Signing for Company

    • Full Legal name: will prepopulate based off Company Settings

    • Signer Name: will default to the Default Company Signee based on the Option Document Settings within Company Settings.

    • Signer Email: will default to the Default Company Signee based on the Option Document Settings within Company Settings.

  7. Set the Signing Preference

    • No Signing Preference: Both signers receive a link to DocuSign at the same time

    • Company Signs First: Company signer receives a link to DocuSign first

    • Employee Signs First: Employee signer receives a link to DocuSign first

      • Most Private Companies have the Employees Sign first

  8. Select Send.

The Notice is now emailed to the grantee and to the company for electronic signature using DocuSign.

Tip

You can track the signature status on the Documents screen. Select Refresh Status in the right panel to get the most current information. When the grant notice has been signed, the status box will display Signed.

Diligent Equity automatically enters a Sign date (which can be overwritten) both for the document and for the Notice itself.

A copy of the fully-signed grant notice will be automatically saved to Diligent Equity, which you can view and download. You can also select View signature status instead of View all documents in the marked combo-box in order to have a quick view of all sent documents and signee status.
