Set Up a Signing Authority for a Corporate Signatory (UK)

Users licenced for Electronic Incorporations are required to have Incorporation Forms signed before eFiling them to Companies House.

In order to sign, all Signatories (for example, Subscribers, Agents, Designated Members, etc.) will require a digital signature or PIN which must be set up before generating and eFiling the Incorporation forms.

For Corporate Signatories, a Signing Authority will need to be assigned to Individuals who will be signing the forms and documents on behalf of these entities. The assignment of a Signing Authority to a Corporate Signatory is achieved with a Data Library.

To assign a Signing Authority to a Corporate Signatory:

  • Navigate to: [required Company record] > Data Library > Statutory > Signing Authority.

  • Select New.

Pending

Action: Determine whether creation of the Signing Authority record will be a Pending Event, or will be actioned immediately upon saving, by selecting one of the available Action options (Pending, Update Immediately).

Tracking: Select an option to indicate the process stage that the record is capturing.

Reminder: Enter a Reminder date (if applicable).

Assigned to: Assign this to the user responsible for updating/verifying/authorising this record (if applicable).

Note

Enter any information recording the process of the event into the field provided.

Other Connected Entities

  • Select the Wand icon to connect the Data Library to an Individual with a Personal PIN already in place.

The Select Entities wizard opens.

  • Use the fields provided to search for and select the Individual who is authorised to sign on behalf of this Company or Other Entity.

This person must already have a Personal PIN entered in the system.

  • Select Finish to close the wizard.

The selected Individual displays in the Other Connected Entities section.

Signing Authority

Type: Forms Signatory

Position: The position that the connected Individual holds within this Company, the Company they are signing for (Director or Secretary)

Note

Enter any relevant information into the field provided.

Event Date: Enter the date that the signing authority was assigned on, or the date as at which this information is being recorded, into the field provided.

The date entered must be before the date of signing on the document to be filed.

Date of Cessation: Leave blank.

Attachments

  • Select the Wand icon to upload and related documents to the record.
  • Select Save, then Close the record.

The selected Individual is authorised to sign on behalf of the specified Company.
