Use LLC rules to model C corp waterfall
You can use LLC waterfall rules to model a C corp waterfall resulting in the exact distribution to affected holders at any equity value. To provide guidance on how this is achieved we have set up a fictional example.
Note
"Share" and "Unit" can be used interchangeably but for the purposes of this guide we use the term "Unit".

There are also 1,000,000 Common shares and an option pool to Common with 50,000 vested options at an exercise price of $3.
Breakpoints for the C corp waterfall
If the equity value is above the highest breakpoint of $17,050,000, all shares (4,050,000) participate equally. Example: At an equity value of $21,100,000, every share receives exactly $1 in addition to the sums in the above table.

Create LLC waterfall steps
Create waterfall steps based on the example above.

In Diligent Equity go to your company Waterfall.

Select Customize.
The Customize page opens where you can add your distribution steps.
