Summary Reports

Reporting and functionality have been updated to assist the form-filing undertaken by Canadian entities, particularly those with Extra-Provincial Registrations (EPR).

Canadian entities are required to register in any Canadian provinces or territories they conduct business within. Details of these EPRs can now be captured in Entities, using the new Summary Report.

A Summary Report is designed to aid clients when informing agents of statutory changes made to Canadian entities and their associated EPRs, where such changes require local forms to be filed. Details of changes made to Canadian entities and/or their related ERPs will display in the Summary Reports.

A Summary Report will be generated when one of the following corporate actions for a Canadian entity, across any of the provinces, is undertaken:

  • Appointment of a Director
  • Resignation of a Director
  • Removal of a Director
  • Replacement of a Director
  • Death of a Director
  • Change of a Director's home address
  • Change of Company address (Registered Office, Service by Mail, Main Office)
  • Change of address

Record a Canadian Corporation

To create a record for a primary site/headquarters Canadian Corporation:

  • Navigate to the Companies Search page: All Searches > Companies > Company Search.

The Company Search page displays, listing those companies already recorded in Entities.

  • Select Wizards (located to the right of the screen) and select the New Company option.

The New Company Wizard opens.

  • Select Next.

The Company Details screen displays.

  • Enter a name for the new entity into the field provided.
  • Select Next.

The Statutory Details screen displays.

Note

Country selection may automatically be set to Canada via your Regional Preferences (found within your Entities User Preferences).

  • Select the Country dropdown menu to select Canada.

The Region dropdown menu changes to Region (Province).

  • Select the Region (Province) dropdown menu to select the appropriate Province. Alberta is used for this example.
  • Select the Corporate and Incorporated On fields to enter the Incorporation number and the date of incorporation into their respective fields.
  • Select the Company Type dropdown menu to select the appropriate corporation type. Then indicate the corporation's status by selecting the appropriate option from the Company Status dropdown menu.
  • With all of the statutory details added, select Next.

The Duplicates screen displays to indicate whether an entity with the same details already exists within Entities.

  • Select Next.

The Addresses screen displays.

  • To add the necessary detail for any of the addresses listed, select the related Wand.

Note

Certain addresses are required to be completed for the province of British Columbia. These addresses are identified by a (BC) suffix and information icon.

Hovering over the information icon will reveal information for the related address.

  • Once complete (or if addresses are to be added after the entity has been created) select Next.
  • The Management Details screen displays.
  • Use the fields provided to add details of the individual who will manage administration of the new company in Entities (if applicable).
  • Select Next.

(if applicable, the following two screens will display. If not, the Action screen will display)

The Extra Details screen displays.

  • Use the fields provided to capture any required information.

With the Extra Details form populated:

  • Select Next.

The Security screen displays.

To add the new corporation to the necessary security groups and determine which users will have access to the detail:

  • Select the required security group checkboxes.
  • Select Next.

The Action screen displays.

  • Select Finish to immediately action the event.

The new Home corporation is saved in Entities.

The new Home corporation's record displays in search results.

Create an Extra-Provincial Registration

With the corporation record created, details of any Extra-Provincial Registrations can now be recorded.

To create an Extra-Provincial Registration record:

  • Navigate to the Companies Search page: All Searches > Companies > Company Search > Wizards > New Company.

The New Company Wizard opens:

  • Advance to the Name and Quick Reference screen to enter a name for the entity into the field provided.

Note

Entering the same name as the main corporation with a province/territory-specific suffix is recommended. For example, New Alberta Corporation Inc. (Ontario).

  • Select Next.

The Statutory Details screen displays.

Note

Country selection may automatically be set to Canada via your Regional Preferences (found in User Preferences).

  • Select the Country dropdown menu to select Canada.

The Region dropdown menu changes to Region (Province).

  • Select the Region (Province) dropdown menu to select the appropriate province of the EPR. Ontario is used for this example.
  • Enter the Incorporation number and the date of incorporation into their respective fields (Corporate and Incorporated On).
  • From the Company Type dropdown menu, select the Extra-Provincial Registration option.
  • Then, indicate the status of the EPR by selecting the appropriate option from the Company Status dropdown menu.
  • Progress through the wizard to complete the remaining screens (as required).
  • Once the necessary information has been captured, select Finish.

The EPR record is created and is in Setup Mode.

  • Enter the appropriate address detail for the EPR.
  • Select Live Mode.

The EPR record is live and enabled in Entities.

Create a Registration in Jurisdiction Data Library

With both the main corporation and EPR record(s) in place, a Registration in Jurisdiction Data Library needs to be created to connect the two and indicate that the main corporation is conducting business in an additional Canadian province/territory.

For example, the New Alberta Corporation Inc. (main corporation) is also conducting business in Ontario (the New Alberta Corporation Inc (Ontario)). New Alberta Corporation Inc. must indicate the existence of this business activity with an EPR and can capture the information in an EPR record.

To create a Registration in Jurisdiction Data Library:

  • Navigate to the appropriate main Canadian corporation record and open it. The following example uses the New Alberta Corporation Inc. record created previously.
  • Select the Data Library icon in the Banner.

The Data Library screen displays.

  • Select New.

The New: Item screen displays.

  • Select the Type dropdown menu or on the to select the Registration in Jurisdiction option from the list.

(Alternatively, select the General tab and select the Registration in Jurisdiction option from the list, then New).

For the following sections, enter the necessary information into the fields provided.

Summary

Type: No need to amend.

Status: Define the status of the process.

Assigned To: Select an Individual to be responsible for this record.

  • Select the Wand in the Other Connected Entity section.

The Select Entities Wizard opens.

  • Use the fields provided to locate and select the EPR (New Alberta Corporation Inc (Ontario)).
  • Select Finish.

The EPR is listed as a connected entity in the Connected Entities section.

Registration in Jurisdiction

Country: Canada

State/Province/Region: Ontario

Home Jurisdiction?: Leave checkbox unselected (as this record is concerned with capturing the EPR, not main (Home) corporation, detail).

Trading Since/Registration/Registration End/ Renewal Due: Enter the dates as appropriate.

Assumed Name: Optional field that can be used to record whether an alternative name (to the one recorded) is used in the new province/territory.

Note

If an alternative name is entered into the Assumed Name field, it will display on the Summary Report. If the field is left blank, the name entered on the EPR record will display instead.

Note

A Canadian corporation will typically use the same name in an EPR unless the existing name is already in use within the new province/territory.

Tax ID/Reg No/Corp No: The Registration number of the EPR (i.e. ON165289374).

Note

Enter any additional notes regarding the EPR into this field.

  • Once all details have been entered, select Save to save the detail and close the record.

The EPR is now listed under the Provincial Reg. tab in the main corporation's record.

Example: Appoint a Director

To appoint a Director to the (main) corporation:

  • Navigate back to and open the main record (for example, New Alberta Corporation Inc.).
  • Use the Appoint wizard to appoint a Director.

On the Documents screen, generated Summary Report will be listed.

  • Select the checkbox for the Summary Report (Change of Directors) listing, then select Next.

The Finish screen displays the new Summary Report.

  • To view and review the report before it is generated, select the Summary Report (Change of Directors) link.

The Open Document screen will display to provide additional document actions.

  • Select an appropriate format to view the report, the select the View button.

The related Summary Report is generated and displays details of any changes that have been made.
