Alternative Entity tax filing
The State of Delaware require all Limited Liability, Limited Partnership, and General Partnership companies to pay an annual Alternative Entity Tax by June 1. Unlike Corporations, these Alternative Entities are not required to submit an Annual Franchise Tax Report.
Registration in Jurisdiction
It is essential that every company to undertake eFiling via Diligent Entities has either:
- An active Registration in Jurisdiction entity for the State of Delaware.
Or
- An activeDelaware Registration Jurisdiction Data Library record.
-which will be used to store the State of Delaware file number for the Alternative Entity.
Registration in Jurisdiction: Entity
To capture the required information and connect it to the Company Record:
- Navigate to: All Searches > Registration > Wizards > New Registration and Create a Branch or Registration in Jurisdiction entity record.
Registration in Jurisdiction: Data Library
If using a Registration in Jurisdiction Data Library:
- Navigate to: required Company Record > Data Library > New > Registration in Jurisdiction, ensure that the following information is present in the fields provided:
Status: Active
Country: United States
State/Province/Region: Delaware
Home Jurisdiction?: Select (if appropriate)
Tax ID/Reg No/Corp No: File Number (Delaware)
- Select Save.
The Registration in Jurisdiction information is saved as a Data Library against the company record.
Alternatively, the Data Library can be Convert a Branch or Registration in Jurisdiction record to the corresponding entity type.
Submit a Tax Data Request
With the Registration in Jurisdiction in place, a Tax Data Request will need to be submitted. The detail contained in a Tax Data Request will automatically populate the Franchise Tax Data Library.
